9th April, 1999 Subject : Report on the Resolutions of the Annual Ordinary meeting of Shareholders No. 6/1999 To : Directors and Manager of the Securities Exchange of Thailand Whereas the Board of Directors of Sino-Thai Engineering & Construction Pcl convened the Annual ordinary Meeting of Shareholders No. 6/1999 during 15.30 16.00 hours on April 9, 1999 at JW Marriott Hotel, Salon C Room, No.4 Sukhumvit Road, Wattana, Bangkok 10110. The Company would like to report the resolutions adopted at the said meeting as follows: 1. Approved the minutes of the Annual General Meeting of Shareholders No. 5/1998 held on April 29, 1998. 2. Approved the Board of Directors' report on the Company's Operations as of December 31, 1998 and the 1998 Annual Report. 3. Reappointed Khunying Niramol Suriyasat, Mr. Anutin Charnvirakul and Mr. Vallop Rungkijvorasathien as directors for another term. 4. Appointed Police Major General Jate Mongkolhutthi, Dr. Chaiyaphon Horrungruang and Mr. Chamni Janchai as new directors who will hold positions as members of the audit committee and as independent directors. 5. Approved the relinquishment of year end dividend declaration for 1998. 6. Approved the Balance Sheet and Profit and Loss Statements for the fiscal period ended 31st December 1998. 7. Appointed Mr. Supot Singhasaneh, C.P.A. License No. 2826 and/or Mr. Nirand Lelamathwat C.P.A. License No. 2316 of KPMG Audit (Thailand) Limited as auditors of the Company for 1999 with their remuneration not exceeding Baht 620,000 per annum. 8. Approved the Directors' Remuneration for 1999 as follows: Board of Directors Meetings Fee (1) For the Chairmanamounting to 20,000 Baht/meeting (2) For each Director amounting to 10,000 Baht/meeting Audit Committees Remuneration - Audit Committees Meeting Fee amounting to 10,000 Baht/person/meeting Please be advised accordingly and disclose to the public and investors.
