Ref: ST/010/2004/0047 July 21, 2004 Re: Report on the investment of subsidiary (Supplement) To: The President The Stock Exchange of Thailand Whereas, Sino-Thai Engineering and Construction Public Company Limited, had informed that HTR Corporation Limited - a 80.90% own subsidiary of Sino-Thai Engineering & Construction Plc., has approved its plan to invest in P.P. Coral Resort Company Limited reference number ST010/2004/0047, dated July 1, 2004. We would like to inform further information that would be useful for the public and investors. Please be informed in details as the followings: HTR Corporation Limited decided to invest in P.P. Coral Resort Company Limited by buying the ordinary shares amounted to 680,000 shares par value of 100 Baht equaled to 68,000,000 Baht that had been waived by all of others existing shareholders, thus such shares included with the previous 1,000 shares which held by HTR Corporation Limited. Therefore, HTR Corporation Limited holds for 681,000 shares, and it will be used as fixed asset investment, which equals to 46.01% of registered capital of P.P. Coral Resort Company Limited and equals to 1.10% of the company's assets value compare with the investment value. Core business of P.P. Coral Resort Company Limited is engaged on hotels and resorts. At the present, P.P. Coral Resort Company Limited is upgrading their resort to 5 stars, PP Island in Krabi province. P.P. Coral Resort Company Limited office is located at Paholyothin Building, 408/146-147 Samsen-Nai sub-district, Payathai district, Bangkok. P.P. Coral Resort Company Limited has 7 directors as follow: 1. Mr. Vibul Panitvong 2. Mrs. Ladda Ratnin 3. Mr. Quanchai Panitpichetvong 4. Mr. Vallop Rungkijvorasathien 5. Mr. Woraphant Chontong 6. Mr. Teerapong Wichiranon 7. Ms. Supaporn Wisarnboochanee The authorized representative should be 2 of 7 of the Board of Directors, which can be either Mr. Vibul Panitvong or Mrs. Ladda Ratnin or Mr. Quanchai Phanitpichetvong sign together with Mr. Vallop Rungkijvorasathien or Mr. Woraphant Chontong or Mr. Teerapong Wichiranon or Ms. Supaporn Wisarnboochanee, and sealed. Registered Capital 148 Million Baht divided into 1,480,000 shares, par value per share 100 Baht. Shareholders' Structure is as follows: 1.
