REPORT ON RESOLUTIONS OF ANNUAL MEETING OF SHAREHOLDERS

Our Ref : ST/2001/0179 April 26, 2001 Subject : Report on the Resolutions of the Annual General Meeting of Shareholders No. 7/2001 To : Directors and Manager of the Securities Exchange of Thailand Whereas Sino - Thai Engineering & Construction Public Company Limited convened the Annual General Meeting of Shareholders No. 7/2001 during 13.30 to 14.30 hours on April 26, 2001. The Company would like to report the resolutions adopted at the said meeting as follows: 1. Approval of the Minutes of Annual General Meeting of Shareholders No. 6/1999 and the Minutes of the Extraordinary Meeting of Shareholders No. 1/2001. 2. Approval of the report on the Company's Operations as of December 31, 2000 and the Company's Annual Report for 2000. 3. Approval of the Balance Sheet and Statement of Income for the fiscal period ended December 31, 2000. 4. Approval of the non-issue of dividends payment for year 2000. 5. Reappointment of Mrs. Tassanee Charnvirakul, Mr. Kierte Eiamsakulrat, Mr. Songkram Cheevaprawatdomrong, Mr. Chamni Janchai, Mr. Chaiyaphon Horungruang and Police Major General Jate Mongkolhutthi as directors of the Company for another term and reappointment of Mr. Chamni Janchai, Mr. Chaiyaphon Horrungruang and Police Major General Jate Mongkolhutthi as the Audit Committee for another term. 6. Appointment of Mr. Narong Puntawong C.P.A. License No. 3315 and/or Mr. Ruth Chaowanagawi C.P.A. License No. 3247 and/or Mr. Sophon Permsirivallop C.P.A. License No. 3182 all of Ernst & Young Office Limited as auditor of the Company for 2001 with auditor's remuneration Baht 800,000 per annum. 7. Approval of the Remuneration of Directors and Audit Committee for 2001 as follows: Board of Directors' Remuneration 1. For the Chairman amounting to 20,000 Baht/meeting 2. For each Director amounting to 10,000 Baht/meeting Audit Committee's Remuneration 1. For the Chairman of Audit Committee amounting to 20,000 Baht/meeting 2.
