Our Ref : ST /2000/0254 June 6,2000 Subject : Clarification on the selling of Nithipat Leasing Co.,Ltd Attention : President The Stock Exchange of Thailand Sino-Thai Engineering & Construction Public Company Limited by the planner has petitioned to the Bankruptcy Court dated May 31,2000 for selling the shares of Nithipat Leasing which the details showed as follow : The Company sells the Nithipat Leasing shares for 8,997,000 shares, 3.25 Baht per share, the total value of 29,240,250 Baht (Twenty nine million two hundred twenty four thousand and two hundred fifty baht) to Orient Investment Management Company Limited who does not have any related business with the Company in accordance with the SET Regulation. In addition, the transaction size is also not over than the calculation measurement of the SET regulation. The purpose of the selling is to utilize the money as working capital of the Company.
