NOTIFICATION FOR THE APPOINTMENT OF AUDITOR

Our Ref : ST/2000/0204 28 April 2000 Subject : Notification for the Appointment of Auditor; Suspension of the Annual General Meeting of Shareholders for the year 2000 and of Dividend Payment. To : Directors and manager The Stock Exchange of Thailand Further to Sino-Thai Engineering & Construction Public Company Limited ("the Company") having filed rehabilitation petition with the Central Bankruptcy Court, on January 17,2000 the Central Bankruptcy Court ordered to proceed a rehabilitation for the debtor's business and appoint Mr.Anutin Charnvirakul and Mr.Chavarat Charnvirakul as Planners. The business reorganization plan is currently being implemented by the Planners. As prescribed in Section 90/25 of the Bankruptcy Act. B.E. 2483 and the amendment to the Act thereof B.E. 2000, once the Court issues an order to appoint the Planner, the power and authority to manage the business and property of the debtor as well as the legal rights of the Company's shareholders, except the right to receive dividends, shall fall upon the Planner. Therefore, the Company hereby declares the suspension of the Annual General Meeting of Shareholders for the year 2000 and of a dividend payment to the shareholders for the year 1999, as the Company is currently under the rehabilitation process. In addition, please be informed that Mr.Nirand Lelamethwat, CPA Registration No.2316 and/or Mr.Supot Singhasaneh, CPA Registration No.2826 and/or Mr.Narong Luktharn, CPA Registration No.4700 of KPMG Audit (Thailand) Limited are appointed as auditors for the year 2000 with the remuneration of Baht 870,000. Please be advised and disclose to the general public and investors accordingly.
