Audit Committee Report on Members and Scope of Duties The Board of Directors of Sono-Thai Engineering & Construction Public Company Limited at a meeting No. 1 / 1999 held on March 8,1999 passed resolutions concerning the appointment of a company Audit Committee. The member of the committee include : 1. Audit Committee Member 1. Police Major General JateMongkolhutthi 2. Mr.Chamni Janchai 3. Dr.Chaiyaphon Horrungruang We also attach a signed statement providing complete and accurate personal profiles of the 3 members of the committee. 2. A listed companys Audit Committe, which represents the board of directors, is responsible for the following duties stated on the charter and must report to the board of directors on : 2.1 Oversee a listed companys financial reporting process and the disclosure of its financial information, in which the financial statement must be correct, sufficient, and credible, by coordinating with an independent public accountant and the management responsible for preparing the quarterly and yearly financial reports. 2.2 Ensure a listed company has adequate and effective internal control systems. It should review, along with the internal auditors, the adequacy of a listed companys internal control systems. 2.3 Ensure a listed company does not engage in any activities that may lead to a conflict of interest. It should review all connected transaction between the listed company or its subsidiaries and connected persons. 2.4 Ensure a listed company follows all the relevant regulations and laws. 2.5 Review the findings of any internal investigation into matters where there is suspected fraud or irregularities, or a failure of internal control systems. It should then report the matter to the board of directors. 2.6 Commission and review the findings of investigations into matters where there is and infringement of any regulations and laws which have or are likely to hae a material impact on the listed groups operating results and financial position. 2.7 Consider other matters as defined by the board of directors. 3. The period of service fo members is as follows : Audit Committee Members : The period of service is the same as Board of Directors. (Including the appointment and the withdrawal of audit committee members) We hereby confirm these Audit Committee members have the qualifications required by the Stock Exchange of Thailand.
